Director, Corporate Law

Summary

Seagen is seeking an outstanding corporate and securities lawyer to join our growing team. The Director, Corporate Law will work on securities law matters, general corporate matters including corporate governance and corporate structure, executive compensation and equity and benefits compensation matters. This position is a highly collaborative role, and the Director, Corporate Law will work closely with a team of professionals in a dynamic growth environment, often in a leadership capacity. Prior corporate and securities law firm experience required. Prior experience in the biopharmaceutical industry and prior in-house experience a plus.

Principal Responsibilities:

  • Preparing materials for the Board and its Committees, including drafting minutes, policies, plan documents and additional materials, and helping to ensure compliance with SEC and Nasdaq corporate governance requirements
  • Advising regarding executive compensation, equity and benefit plans, including plan design, administration and compliance
  • Managing and implementing the Company’s insider trading policy, including communication, interpretation and training
  • Drafting and advising on filings with the SEC, including Form 8-Ks, Form 10-Qs, Form 10-Ks, proxy statements and Forms 3, 4 and 5, and providing legal support for all aspects of corporate financing transactions
  • Proactively collaborating with colleagues in Finance, Human Resources, Portfolio Strategy and Management, Investor Relations regarding filings and shareholder engagement topics
  • Selecting, retaining and managing outside legal counsel to ensure high-value cost-effective representation
  • Helping to manage and guide corporate counsel, and paralegal, team members

Key requirements:

  • JD degree and bar membership in good standing in Washington State
  • 10 + years’ experience advising on U.S. public company matters, federal securities laws and corporate governance, including law firm experience
  • Corporate transactional, executive compensation and equity plans experience
  • Excellent written and oral communication skills, and flexibility and ability to work with fast-changing priorities
  • Excellent judgment, a high level of professional integrity and discretion, and commitment to excellence
  • Strong ability and willingness to be flexible, adaptable and to cross functionally build relationships in a rapidly evolving environment
  • Excellent organizational skills, ability to manage multiple projects at once, follow through, and meet deadlines
  • Prior experience in the biopharmaceutical industry and prior in-house experience a plus

Education:

  • JD degree and bar membership in good standing in Washington State
